Terms & Conditions
These terms govern the event planning and management services provided by Ellington Events LLC. Please read them before accepting a proposal.

1. About these terms
These Terms & Conditions form an agreement between you (the client) and Ellington Events LLC, a limited liability company with offices at 1650 Market Street, Suite 3600, Philadelphia, PA 19103. By accepting a written proposal, signing a service agreement or paying a deposit, you agree to these terms.
Where a signed service agreement contains terms that differ from these, the signed agreement takes precedence for that engagement.
2. Services
We provide event planning, coordination and management services as described in your written proposal. The proposal defines the scope of work, the services included, the estimated supplier costs and any exclusions.
Services not listed in the proposal are not included. Additional services can be added at any time and will be quoted in writing before work begins.
3. Quotes and pricing
Prices published on this website are starting prices for planning and coordination services. They are not offers and do not constitute a binding quote.
A binding quote is provided only in a written proposal. Proposals are valid for the period stated on them, typically fourteen days. Supplier costs are passed through at the amounts we are invoiced and are shown separately from our planning fee.
4. Bookings and deposits
A date is reserved only once a signed service agreement and the required deposit have been received. Deposits secure our availability and enable us to place supplier bookings on your behalf.
Remaining balances are due according to the schedule in your agreement. Late payment may delay supplier confirmations and, where a supplier withdraws as a result, we are not liable for the consequences.
5. Client responsibilities
You agree to:
- Provide accurate information about your event, guests and requirements.
- Respond to approval requests within the timeframes set out in the event timeline.
- Obtain any permissions or permits that are your responsibility under the proposal.
- Ensure that guests comply with venue rules and applicable law.
- Pay invoices in line with the agreed schedule.
6. Changes to the event
Change requests must be made in writing. We will confirm whether a change is possible given supplier lead times and re-quote any cost impact before proceeding. We are not obliged to implement changes that we have not confirmed in writing.
7. Third-party suppliers
We contract venues, caterers, technical crews and other suppliers on your behalf or introduce them to you directly. While we select suppliers carefully and verify insurance and licensing where applicable, each supplier is responsible for its own performance and its own terms.
8. Liability
To the fullest extent permitted by law, our total liability arising out of or in connection with an engagement is limited to the total planning fee paid by you for that engagement. We are not liable for indirect or consequential losses, including loss of profit, revenue or goodwill.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited under applicable law.
9. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including severe weather, public health restrictions, utility failure, strikes, government action or venue closure. Where such an event occurs, we will work with you and the suppliers to reschedule where possible.
10. Cancellations and refunds
Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these terms.
11. Media and confidentiality
We do not publish client names, guest information or contract details. Where we would like to photograph an event for our portfolio, we ask for written permission first, and you may decline without affecting your service.
12. Governing law
These terms are governed by the laws of the Commonwealth of Pennsylvania, and the courts of Philadelphia County have exclusive jurisdiction over any dispute, without prejudice to any statutory consumer rights you may have.
13. Changes to these terms
We may update these terms from time to time. The version in force for your event is the version in effect on the date your service agreement was signed.
